1. Introduction
IndoVentura OÜ is registered in Estonia under company number 17494733, with registered address at Harju maakond, Tallinn, Kesklinna linnaosa, Ahtri tn 12, 15551, contact email: [email protected].
These Terms & Conditions (“Terms”) govern the services provided by IndoVentura OÜ, an Estonia-registered travel information and introduction service (“we”, “us”, “our”), to you, the client (“you”, “your”).
We operate exclusively as a travel information and introduction service. This means:
- We do not operate tours.
- We do not provide transportation, accommodation, activities, or any travel services ourselves.
- All travel services are provided directly by independent third-party service providers (including local guides, drivers, hotels, activity providers, and transport companies).
- IndoVentura is not a party to any contract between you and any service provider.
2. Scope of Our Service
Our services are limited to travel consultation, travel information, and introductions to independent local service providers.
We provide general travel information and suggestions based on client requests and may connect clients with relevant independent local service providers.
Where an introduction is made, it is strictly limited to facilitating initial contact, including the exchange of contact details and relevant contextual information.
We may also, where requested, assist in explaining or clarifying information provided by service providers. This support is purely informational and does not involve negotiation, modification, or arrangement of any services.
We do not:
- Design or operate itineraries
- Make bookings or reservations on your behalf
- Collect or process payments for any service providers
- Negotiate or conclude agreements between clients and service providers
- Act as an intermediary in contractual agreements between you and service providers
- Combine services into packages or act as a tour operator under EU Package Travel Law (Directive (EU) 2015/2302)
All agreements for travel services are concluded directly between the client and the respective service provider. IndoVentura is not a party to any such agreements.
3. Our Service Fee
We charge a service fee for providing travel information and introducing clients to independent local service providers.
The service fee covers our work in:
- Providing travel information and recommendations
- Introducing you to independent local service providers
- Assisting as described in Section 2
The service fee is separate from any payments made to service providers.
All payments to service providers are made directly between you and the respective provider. IndoVentura does not collect or process payments on behalf of service providers.
The service fee is clearly communicated prior to engagement.
The service fee is non-refundable, except where required by applicable law.
4. Payments and Service Breakdown
4.1 Price Information
Before any engagement, you will receive a clear written breakdown of:
- Our service fee
- Estimated fees of independent local service providers (e.g. guides, accommodation, transport, activities), where available
Any estimated fees are indicative only and subject to change by the respective service providers.
Service provider prices are set and charged directly by the respective providers.
4.2 Payments to Service Providers
All payments for travel services are made directly between you and the relevant service providers.
IndoVentura does not collect, hold, transfer, or process payments on behalf of service providers.
4.3 Our Service Fee
Our service fee is paid directly to IndoVentura for the provision of travel information and introduction services.
This fee is separate from any payments made to service providers.
4.4 Accepted Payment Methods
- Bank transfer
- Wise
- PayPal
Preferred currency: EUR. If EUR payment is not possible, an alternative currency may be agreed in advance.
4.5 Commissions
We may receive commissions from independent service providers. This does not affect the price you pay to them and is standard practice in independent travel arrangements. We remain independent in our recommendations.
5. Service Engagement & Scope of Relationship
Payment of our service fee confirms engagement of IndoVentura’s travel consultation, information, and introduction services only.
Our services are limited to the scope described in Sections 2–4 and do not constitute any agreement for travel services between the client and any third-party service provider.
IndoVentura’s role ends with the provision of consultation, information, and introductions as described in these Terms.
6. Liability
6.1 Our Liability (Information and Introduction Service)
IndoVentura OÜ provides travel information and introduces clients to independent third-party service providers.
We are not responsible for the execution of any travel services provided by third parties.
To the maximum extent permitted by law, we are not liable for:
- Accidents, injuries, illness
- Transport cancellations or delays
- Acts, errors, negligence, or omissions of service providers
- Quality, safety, or performance of accommodation, transport, or activities
- Weather, environmental, or local conditions
- Loss, theft, or damage of personal belongings
- Schedule changes or operational disruptions beyond our control
IndoVentura is not a party to any agreement between you and any service provider.
Our liability is limited to the provision of advisory and introduction services as described in these Terms.
6.2 Service Provider Responsibility
All travel services are provided by independent third-party service providers under their own responsibility.
Service providers are solely responsible for:
- Their services and performance
- Safety standards and operational decisions
- Cancellation, refund, and change policies
IndoVentura does not control, supervise, select, employ, or guarantee any service provided by third parties
6.3 Travel Risks Acknowledgment
Travel in Indonesia may involve inherent risks, including but not limited to:
- Remote or rural road conditions
- Sea travel and weather variability
- Wildlife and natural environments
- Limited infrastructure or medical access
- Cultural or environmental conditions
All participation in travel activities is voluntary and at your own risk.
Travelers are responsible for following all safety instructions provided by independent service providers.
7. Travel Information and Suggestions
Any travel suggestions provided by IndoVentura are based on your stated interests and preferences and are for informational purposes only.
All travel services are subject to confirmation and execution by independent service providers and remain dependent on:
- Service Provider availability
- Operational requirements
- Weather and safety conditions
- Local circumstances
IndoVentura does not guarantee any specific outcomes, experiences, schedules, weather conditions, or availability of wildlife or activities.
All travel services are delivered exclusively by independent service providers, who are solely responsible for final confirmation and execution.
8. Cancellation & Refunds
8.1 Our Service Fee
In accordance with EU consumer law, there is no statutory right of withdrawal for services that are fully performed or begin immediately with the client’s consent.
By proceeding with the purchase, you expressly request that we begin providing our services immediately and acknowledge that you may lose your right of withdrawal once the service has been fully performed.
Our service fee is non-refundable, except where required by mandatory law.
8.2 Service Provider Fees
All cancellation, change, and refund policies for travel services are determined solely by the respective independent service providers.
We will inform you of the relevant provider terms where available prior to your direct engagement with them.
We do not control or verify the accuracy or completeness of such terms.
Any refunds relating to travel services:
- Are handled solely by the respective service provider
- Are subject to their individual terms and conditions
- May take time to process depending on the provider
IndoVentura is not responsible for refund decisions or outcomes made by service providers.
We may assist in clarifying information between parties upon request.
9. Travel Insurance
We strongly recommend that travellers obtain comprehensive travel insurance prior to travelling, including coverage for:
- Medical expenses
- Travel delays or cancellations
- Trip interruption
- Personal belongings
IndoVentura does not provide or sell insurance products and is not responsible for any costs that may be covered by travel insurance.
10. Client Responsibilities
Travelers are responsible for:
- Ensuring they possess valid passports, visas, permits, and all required travel documents
- Meeting health, vaccination, and entry requirements of all destination countries
- Acting responsibly and following all guidance and safety instructions provided by independent service providers
- Ensuring they are physically and mentally fit and medically capable of participating in planned travel activities
- Disclosing any relevant medical conditions prior to engaging with service providers
- Providing accurate personal and travel information
- Holding appropriate travel and medical insurance
- Complying with all applicable local laws and regulations during their travels
10.1 Behavior & Conduct
Independent service providers reserve the right to refuse participation or discontinue services to any traveller who behaves illegally, dangerously, disruptively, or disrespectfully toward guides, local communities, or other participants.
In such cases:
- The relevant service provider may terminate their services immediately
- Any consequences, including loss of payments for services, are governed solely by the service provider’s own terms and conditions
- IndoVentura OÜ is not responsible for decisions made by service providers or for any resulting costs, including accommodation, transport, or return travel expenses
Our service fee remains subject to the cancellation terms set out in these Terms & Conditions.
11. Complaints
If any issue arises during the provision of travel services, travellers should contact the relevant independent service provider directly as soon as possible.
The service provider is solely responsible for handling and resolving any complaints relating to their services.
IndoVentura OÜ is not responsible for the actions, decisions, or resolutions provided by service providers.
We may, where reasonably possible, assist in clarifying information between parties upon request.
After completion of services, resolution options may be limited and depend entirely on the service provider’s terms and applicable law.
Nothing in this section limits your statutory rights under applicable EU or Estonian law.
12. Force Majeure
We are not liable for any failure or delay in the performance of our service obligations resulting from events beyond our reasonable control.
Such events may include, but are not limited to:
- Natural disasters
- Pandemics or epidemics
- Government restrictions or regulatory actions
- War, civil unrest, or terrorism
- Strikes or labour disputes
- Transport disruptions or infrastructure failures
We are not obliged to provide refunds or compensation for any such suspension or limitation of our services.
13. Changes to Travel Services
Any changes to travel services are agreed directly between you and the relevant independent service provider and are subject to their availability and terms.
Service providers may apply additional costs or conditions for any changes, in accordance with their own policies.
IndoVentura OÜ does not manage, confirm, or guarantee any changes to travel services and is not responsible for their approval or implementation.
IndoVentura OÜ is not involved in requesting, negotiating, or implementing such changes.
14. Data Protection
We process personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).
Personal data is used solely for providing travel information services, facilitating introductions to independent service providers, communication purposes, invoicing, and legal compliance.
We do not sell or misuse personal data.
15. Governing Law
These Terms are governed by Estonian law.
Any disputes shall first be attempted to be resolved through negotiation. If a resolution cannot be reached, disputes shall be submitted to the competent courts of Estonia.
16. Acceptance
By engaging with our services, you confirm that you:
- Understand that IndoVentura OÜ provides travel information and introduction services only
- Understand that all travel services are provided exclusively by independent third-party service providers
- Acknowledge that IndoVentura OÜ is not a party to any contract between you and any service provider
- Acknowledge that IndoVentura OÜ is not responsible for the performance or outcome of any travel services provided by third parties
- Agree to be bound by these Terms & Conditions
